1. Agreement to Terms

Welcome to Promofera Dynamics. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Promofera Dynamics ("Company," "we," "us," or "our"), governing your access to and use of our website, digital marketing support services, consulting, and related offerings. If you are entering into these Terms on behalf of a business entity, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. It is your responsibility to check these Terms periodically for changes. Your continued use of or access to our website and services following the posting of any changes constitutes acceptance of those changes. Our SEO services are advisory in nature — we deliver structured recommendations and roadmaps that your team or external partners can implement. We do not guarantee specific search engine rankings, as rankings are determined by third-party algorithms outside our control.

2.4 Content Planning

Our content planning services include strategic content calendar development, topic clustering and pillar content architecture, editorial direction for websites and social media platforms, content gap analysis, audience persona alignment, content format recommendations, publishing frequency optimization, and cross-platform content strategy. We provide the strategic framework and direction; content creation and publishing execution remain the responsibility of the client unless otherwise agreed upon in a separate written agreement.

We provide clear, actionable reporting on website traffic patterns, user behavior analysis, conversion metrics, campaign performance indicators, audience demographics, engagement rates, and key performance indicators relevant to your business objectives. Our analytics services translate raw data into meaningful insights that inform strategic decision-making. We utilize industry-standard analytics platforms and tools, and all data handling is performed in accordance with applicable privacy regulations.

2.6 Online Growth Consulting

Our consulting services include strategic planning sessions, growth trajectory definition, digital investment prioritization, market opportunity identification, competitive positioning strategy, scalability planning, and ongoing advisory support. Consulting engagements are tailored to each client's specific needs, goals, and market context.

3. Client Responsibilities

To ensure the effective delivery of our services, you agree to provide timely and accurate information necessary for our analysis and recommendations. This includes, but is not limited to, access to relevant analytics platforms, content management systems, advertising dashboards, and other digital tools as reasonably required. You are responsible for the accuracy and completeness of all information and materials provided to us. Delays in providing necessary access, information, or feedback may affect project timelines and deliverable quality.

You acknowledge that our services are advisory in nature and that the ultimate decision to implement any recommendations rests with you. You are solely responsible for evaluating the suitability of our recommendations for your specific business context and for any outcomes resulting from their implementation.

4. Payment Terms

Service fees are as quoted in individual proposals, service agreements, or as listed on our website. All fees are denominated in United States Dollars (USD) unless otherwise specified. Payment terms, schedules, and accepted methods will be outlined in your specific service agreement. Late payments may be subject to interest charges of 1.5% per month on outstanding balances, or the maximum rate permitted by applicable law, whichever is lower. We reserve the right to suspend or terminate services for accounts with outstanding balances exceeding 30 days past due.

5. Intellectual Property

All deliverables, reports, analyses, strategies, frameworks, methodologies, templates, and other materials created by Promofera Dynamics specifically for your engagement shall become your property upon full payment of all applicable fees. However, we retain ownership of our proprietary methodologies, tools, frameworks, processes, general knowledge, and any pre-existing intellectual property used in the delivery of services. We reserve the right to use anonymized, aggregated data and general insights derived from our work for internal research, improvement of our services, and development of industry benchmarks.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. Confidential information includes, but is not limited to, business strategies, financial data, customer information, marketing plans, analytics data, competitive intelligence, and any information explicitly identified as confidential. This obligation survives the termination of the service relationship for a period of two (2) years. Standard exceptions apply for information that becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Promofera Dynamics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or loss of goodwill, arising from or related to your use of our services, regardless of whether such damages were foreseeable or whether we were advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to us during the twelve (12) months preceding the event giving rise to the claim.

8. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will meet all of your requirements, that our recommendations will achieve specific results, or that our analysis will be error-free. While we strive for accuracy and excellence in all our deliverables, digital marketing outcomes are inherently variable and influenced by numerous factors beyond our control, including but not limited to search engine algorithm changes, market conditions, competitive actions, and client implementation quality.

9. Term and Termination

These Terms remain in effect as long as you use our website or services. Either party may terminate a service engagement by providing thirty (30) days written notice, unless otherwise specified in a separate service agreement. Upon termination, you shall pay for all services rendered through the effective date of termination. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification) shall survive.

10. Indemnification

You agree to indemnify, defend, and hold harmless Promofera Dynamics, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your violation of these Terms, your use of our services, your implementation of our recommendations, or any breach of your representations and warranties under these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any dispute arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration in Bowling Green, Kentucky, in accordance with the rules of the American Arbitration Association.

12. Website Use

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the website. Prohibited behavior includes, but is not limited to, attempting to gain unauthorized access to our systems, transmitting malicious code, scraping content without permission, engaging in any activity that disrupts or interferes with our website's functionality, or using our website to collect personal information about other users without their consent.

13. Third-Party Services

We are not responsible for the availability, accuracy, or reliability of such third-party services. Your use of third-party services is subject to the respective terms and conditions and privacy policies of those providers. We may recommend specific third-party tools or services based on our professional assessment, but such recommendations do not constitute endorsements, and we are not liable for any issues arising from your use of third-party services.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond the reasonable control of the affected party, including but not limited to natural disasters, acts of government, pandemic or epidemic, power outages, internet disruptions, telecommunications failures, labor disputes, or any other event of force majeure. The affected party shall provide prompt notice to the other party and shall use reasonable efforts to mitigate the effects of the force majeure event.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

16. Entire Agreement

These Terms, together with any applicable service agreements, proposals, and statements of work, constitute the entire agreement between you and Promofera Dynamics with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, representations, and agreements, whether oral or written. No modification of these Terms shall be effective unless made in writing and signed by both parties, or posted by us as an update to these Terms on our website.
